Terms of Service

1. Acceptance of Terms

By accessing or using the Conspectus platform, including the Iran War Room (IWR) and any associated services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service.

These Terms constitute a binding legal agreement between you (“User,” “you,” or “your”) and Conspectus, Inc. (“Conspectus,” “we,” “us,” or “our”), a Delaware corporation.

2. Description of Service

Conspectus provides a decision-intelligence platform that models political and institutional decision-makers, mapping incentives, constraints, relationships, and behavioral history to support probability-based forward-looking analysis. The Service is intended for use by traders, political advisors, financial institutions, and related professionals.

The Service is not:

• Legal advice
• Investment advice or financial recommendations
• A guarantee of any analytical outcome or prediction

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

The Service is intended for business and professional use only. Use of the Service for personal, family, or household purposes is not permitted.

4. Account Registration

To access the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your credentials confidential and not share them with third parties
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

Conspectus reserves the right to suspend or terminate accounts that contain false information or that are used in violation of these Terms.

5. Subscription and Payment

Access to the Service is provided on a subscription basis. By subscribing, you agree to pay all applicable fees as described in your subscription plan, authorize recurring billing to your designated payment method, and keep payment information current.

All fees are exclusive of applicable taxes. Conspectus may modify pricing with at least 30 days’ written notice. Failure to pay may result in suspension or termination of access.

Refunds: Fees are non-refundable except as required by law or expressly stated in a separate agreement.

6. Permitted Use

You may use the Service solely for lawful, internal business purposes consistent with these Terms. You agree not to:

• Reproduce, redistribute, sell, or sublicense any content or analysis generated by the Service
• Use the Service to train machine learning models or build competing products
• Scrape, crawl, or systematically extract data from the Service
• Reverse engineer, decompile, or attempt to derive source code from the Service
• Use the Service in a manner that violates any applicable law or regulation
• Attempt to gain unauthorized access to any portion of the Service or its infrastructure
• Share access credentials or allow concurrent use of a single account across multiple users

7. Intellectual Property

All content, data models, analytical frameworks, software, and documentation made available through the Service are the exclusive property of Conspectus or its licensors and are protected by applicable intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes only.

Any feedback, suggestions, or ideas you provide to Conspectus may be used by us without restriction or compensation.

8. Confidentiality of Platform Content

All analytical outputs, model configurations, entity profiles, and platform data are confidential to Conspectus. You agree not to disclose, publish, or share platform content outside your organization without Conspectus’s prior written consent.

You agree to indemnify, defend, and hold harmless Conspectus and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

12. Termination

Either party may terminate these Terms at any time with written notice. Upon termination, your access to the Service will cease and any outstanding fees remain due. Sections 7, 8, 9, 10, 11, and 14 survive termination.

Conspectus may immediately suspend or terminate your access if you breach these Terms or if continued access poses a security or legal risk.

13. Modifications

Conspectus reserves the right to update these Terms at any time. Material changes will be communicated via email or prominent notice on the platform at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Delaware. You waive any right to participate in class-action proceedings.

15. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and Conspectus regarding the Service.

Severability: If any provision is found unenforceable, the remaining provisions remain in full force.

No Waiver: Failure to enforce any provision shall not constitute a waiver.

Assignment:You may not assign your rights under these Terms without Conspectus’s prior written consent.
